USA Compression disclosed its weaknesses in public, and the job was pricing them. <a href="https://mainlineventures.substack.com/p/the-counterparty-read-kgs-q2-2026">Kodiak disclosed strength almost everywhere</a>, and the job was finding the places operator leverage survives. Archrock filed both at once: the only guidance cut any major compression vendor took this quarter, and the largest single compression services contract any of them has ever disclosed, in the same 10-Q. A reader who takes the vendor&#8217;s framing gets a growth story. A reader who takes the banks&#8217; gets a miss. (Three of the four notes in our file lead with that word, and all four were finished before management picked up the phone: JPMorgan&#8217;s credit desk published on the release August 4, and Wells Fargo, Mizuho, and Texas Capital all dated their notes August 5, pre-call.) The read that survives contact with the filing is neither, and it&#8217;s worth more than either.</p><p>The proof of method lives in the first two reads and in the Eagle Ford award table we published in July, names removed, figures exactly as signed. <a href="https://mainlineventures.substack.com/p/the-counterparty-read-usa-compression">I won&#8217;t re-run the credentials each issue</a>; the standing thesis of this series does that work: reading the filings is not the edge. The full frame, chairs and all, ran in the USAC read; below is what changes when the counterparty is Archrock. Start with the paradox the balance sheet hands you. This is the financially strongest vendor of the three (2.6x levered against Kodiak&#8217;s 3.1x and USA Compression&#8217;s 3.72x, positive outlooks at all three rating agencies), and it&#8217;s also the one with the most legible structural need: $868.9 million of equipment purchases already committed, a $1.4 to $1.6 billion build declared through 2030, and a fleet whose contracted revenue has to grow into all of it. Kodiak&#8217;s scarcity ran the table in last week&#8217;s read. y2="14"></line></svg></button></div></div></div></a></figure></div><ul><li><p><strong>If Archrock is your incumbent:</strong> figure out which side of the new 81% coverage disclosure you sit on before their commercial team does the math for you. The term-conversion wave now has a template, a 665,000 horsepower precedent, and a stated executive expectation that &#8220;these longer term tenors may be more in the future.&#8221; The conversion letter is coming; the question is whether you&#8217;ve priced your signature before it arrives.</p></li><li><p><strong>If you want Archrock in:</strong> the diversified footprint is real. Half of recent bookings landed outside the Permian, the NGCS acquisition added depth in Appalachia and the Mid-Continent, and 19% of the fleet is electric motor drive, the only meaningful EMD position among the three majors. If your site holds firm power, this fleet was built with you in mind, and the playbook&#8217;s seventh item prices what that is worth.</p></li><li><p><strong>If you sell compression against Archrock:</strong> the openings are at the edges. The sub-1,000 horsepower revenue band shrank 3.0% year over year and the company keeps exiting it; aftermarket customers are deferring overhauls into what will become a queue; and don&#8217;t build a pitch on the 94.4% utilization print, because on a like-for-like definition it&#8217;s a tighter fleet than the headline suggests (section five walks through the arithmetic).</p></li><li><p><strong>In every chair, negotiate the package:</strong> as multiple equivalent simultaneous offers, with term as the axis this time: this vendor has told you, in an SEC filing, exactly which concession it values most.</p></li></ul><p>A note for midstream readers: the 665,000 horsepower contract is a midstream deal, gathering applications are 61% of Archrock&#8217;s horsepower, and the top ten customers are roughly 63% of contract operations revenue. The conversion template was built for your side of the market, and presumably there is a list, and presumably you are on it.</p><h2>Including With Our Customers</h2><p>The find this quarter is one sentence of unprompted restraint. The pricing question on the August 5 call drew the answer you would expect from a vendor printing a 71% gross margin: &#8220;It&#8217;s a very supportive environment for pricing and profitability in contract operations in our business. And you&#8217;re seeing that come through with the 71% gross margin we delivered in the quarter and our forecast that even with the headwinds we articulated, we&#8217;re going to be at 70% in this current environment.&#8221; Standard 2026 compression-vendor contentment. Then Childers kept going:</p><p>&#8220;I will point out, it&#8217;s a competitive market, however, including with our customers. And so we do approach this incredible business to generate great returns for our investors, but we are responsible in how we have those negotiations with our -- and drive that pricing with our customers.&#8221;</p><p>A quarter ago the same executive&#8217;s pricing language was &#8220;very happy with the overall pricing in the market,&#8221; with no responsibility clause anywhere near it. No peer executive volunteered anything comparable this season: Kodiak&#8217;s CEO used his pricing airtime to explain that churn lets him high-grade customers, and USA Compression&#8217;s management volunteered a price crack on idle iron. Vendors do not add restraint language to a bullish answer while exercising none. Two readings fit. The generous one: genuine posture, consistent with signing a strategic customer to eight years at a rate nobody will discuss. The cynical one: reputational cover for increases that continue on schedule. The sequential facts lean toward the first, gently: derived revenue per horsepower rose 0.4%, the slowest of the three majors, and the full-year contract operations margin guide came down half a point at the midpoint.</p><p>Either way, the sentence now exists on the record with a date attached, and it survives being read back across a negotiating table, which is what you should do with it. Management told the street on August 5 that it prices responsibly in a competitive market that includes its customers. The next Archrock renewal proposal you receive can be measured against that sentence, out loud, in the meeting. compression engagement that closed in July, with the names removed and the figures exactly as they signed: $3,476,479 a year off the committed book, a 12.7% reprice on every unit the incumbent kept, a mechanical-availability guarantee moved from a 96% run rate to a contractual 98%, and one row that went the wrong way, published anyway, because real award tables have one. What earns a small-town central Pennsylvania boy the right to publish numbers like that is a process, built outside this industry with a world-renowned negotiation expert and run through hundreds of oil and gas agreements since: a census reads the basin unit by unit, a leverage screen reads the counterparty&#8217;s filings, and a normalized RFP forces every bid onto one all-in number. The outcomes are bought with the vendor&#8217;s own financial position, understood earlier and in more detail than the vendor expects across the table.</p><p>That is the standing thesis of this series, and I will keep repeating it: reading the filings is not the edge. Converting them into deal structure is. This issue runs the diagnostic on Kodiak Gas Services, whose second quarter (reported August 7, 10-Q filed the same day) is the strongest print any compression vendor will file this season. With USA Compression last week, the filings disclosed weaknesses and the job was pricing them. With Kodiak, the filings disclose strength almost everywhere, and the job is finding the places your leverage survives, because there are fewer of them every quarter and the quarter just told us the closure rate. negotiation, and go to market before the term-conversion letter arrives, because this quarter proves the letters are going out and being signed. Unit by unit you are a rounding error on a 4.5-million-horsepower fleet; aggregated, you are the thing their investor deck promises never to lose.</p></li><li><p><strong>If you want Kodiak in:</strong> entry runs through the order book, because there&#8217;s no idle fleet worth naming. Half of the 2027 new-build deliveries are already contracted and 2028 is selling now; what gets you the other half is looking like the customer Kodiak&#8217;s own screen selects for. The CEO described that screen on the call, in public, and most of his customers were not listening.</p></li><li><p><strong>If you sell compression against Kodiak:</strong> their print is your map of where not to fight. Bid availability inside twelve months (their lead times are about 200 weeks), the small and mid-size classes they keep divesting, basins outside their declared core, and electric drive, where Kodiak has now gone two consecutive earnings calls without a word.</p></li><li><p><strong>And in every chair, negotiate the package</strong>, as multiple equivalent simultaneous offers: price, term, uptime, first call, swap and downsize rights, escalators, all at one table, at the moment your alternatives are real. This print tells you precisely what Kodiak values, which is what makes the MESO conversation unusually easy to design against them.</p></li></ul><p>A note for midstream readers: Kodiak&#8217;s book is roughly 70% midstream by customer mix, so most of what follows is about you, and the aggregation math works harder for you, because your books are bigger and your insourcing threat is structurally more credible than an E&amp;P&#8217;s.</p><h2>Not a Bad Thing Either</h2><p>The find this quarter came out of an ordinary compression question. Citi&#8217;s Doug Irwin asked about demand for longer-duration contracts, referencing a peer&#8217;s eight-year midstream deal, and whether Kodiak might keep terming out its fleet. CEO Mickey McKee said yes, they would love to, and then kept going:</p><p>&#8220;It&#8217;s really kind of a customer-by-customer preference here. So some want to keep them a little shorter to preserve some optionality, which in our minds is not a bad thing either because it gives us the ability to churn the fleet a little bit and kind of high-grade customers there if we want to do that.&#8221;</p><p>That sentence retires an assumption your renewal strategy may be built on. The standard operator model of a short term is optionality that belongs to you: stay walkable, keep the vendor honest, preserve the exit. The investor-relations reading of McKee&#8217;s answer fits that model fine: customer preference, cheerfully accommodated. That&#8217;s not how I would put it. I would put it as: at 98.2% utilization and 200-week lead times, a month-to-month unit is an option held by whichever side can replace the other faster, and the CEO just told you, unprompted, which side he believes that is.</p><p>&#8220;High-grade customers&#8221; is a vendor saying it grades customers, and the grading makes sense once you say plainly what this industry is: real estate masquerading as reciprocating engines. Ride the landlord logic one step and churn is a dream vacancy (the unit comes back, the street rate went up while it was out, and a building ordered today opens in 2030). Ride it a second step and the tenant roster is the strategy: a building good enough to attract Fortune 10 tenants, whose rent clears in any commodity environment, fills itself with them, all day of the week, and lets everyone else find other space. If you are a financially fortified E&amp;P that is not yet a majority-Kodiak book, that cuts in your favor: you are the tenant the building wants, and this print is your invitation to negotiate like it. If you are anyone else, your position has to run through the few weaknesses the filings disclose, and one of them is geographic: a well-established operator in the Eagle Ford holds a card the Permian names do not, and the playbook below prices it. The rest of the quarter agrees with McKee, in ways the paid half walks through line by line.</p><p>None of the five broker notes in our file carries the sentence; they were filed before the call or on the print itself. The market priced the record EBITDA; the vendor&#8217;s stated willingness to let your contract expire is not in anyone&#8217;s model yet.</p><div class="captioned-image-container"><figure><a y2="14"></line></svg></button></div></div></div></a></figure></div><h2>A Billion Dollars in Ninety Days</h2><p>The headline numbers were loud enough: revenue of $391.1 million, adjusted EBITDA of $217 million, a company record, above every published broker estimate (JPMorgan, at $214 million, called it in-line; the other four scored it a beat). But the number this file will still care about in 2028 sits in the revenue footnotes. Remaining performance obligations in the compression segment grew from $1,632.9 million to $2,643.2 million in one quarter. That is $1,010.3 million of new contracted future revenue, up 61.9%, in ninety days, and once you add back the revenue Kodiak recognized out of the ladder during the quarter, it implies something like $1.3 billion of gross new term bookings (Kalibr estimate, order of magnitude). Call it a hair over $11 million of new term signed per day, weekends included.</p><p>Now look at where the billion sits on the calendar. Obligations dated 2030 and beyond went from $34.3 million to $682.4 million, twenty-fold, as two ten-year extensions with top-ten customers stopped being announcements and became scheduled revenue. For scale: USA Compression&#8217;s term-conversion campaign, which I covered last week as a genuine machine, added $139.9 million of out-year backlog in the same ninety days. Kodiak added roughly eight times that, on a fleet about nine-tenths the size.</p><p>Three months ago our Q1 Kodiak file told operators the month-to-month pool was the best asset in the book: 14% of the fleet, roughly 615,000 horsepower, contractually walkable, the largest negotiable surface Kodiak had carried since 2024. I need to update that advice while it still matters. The Q2 deck prints month-to-month at 10%. Roughly 450,000 horsepower remains (both figures are Kalibr estimates from investor-deck percentages; the 10-Q does not disclose the split, and I wish it would). The difference, about 165,000 horsepower a quarter, is the rate at which expiring iron is rolling into term paper instead of rolling free. The window is still open. y2="14"></line></svg></button></div></div></div></a></figure></div><h2>Sixty Thousand Horsepower</h2><p>In a recent engagement, we renegotiated roughly 60,000 horsepower of compression. The outcomes, in the order the client cares about them: about $3 million a year in compression cost savings, throughput up 25%, a contracted fleet averaging roughly ten years newer, 98 to 99% uptime guarantees, First Call status, months of free credit, transition cost crediting, no penalty for downsizing, and 50/50 splits on craning and trucking.</p><p>Every line on that list was bought with the same asset: we sat down knowing the vendor&#8217;s financial position, in places better than their own commercial team seemed to. We knew which parts of their fleet were earning and which were sitting, and what their balance sheet needed from our paper more than it needed our rate. Know that, and asks turn into trades: you are giving the vendor something its own financials say it needs, and charging for it.</p><p>The raw material traces back to documents anyone can download: earnings call transcripts, 10-Qs, investor decks. Which raises a fair question about why outcomes like that are rare. Here is the answer, and it is the thesis of everything Kalibr publishes: <strong>reading the filings is not the edge. Converting them into deal structure is.</strong> The earnings call tells you what a vendor needs; the 10-Q tells you what it can afford. Neither is worth anything until it shows up in how you package, sequence, and paper your negotiation.</p><p>That is the connection between our engagement work and the breakdown you are about to read. This piece is the diagnostic we run before every negotiation, performed in public on USA Compression&#8217;s second quarter: what does this vendor need right now, what can it afford, and where is its walk-away weak? The quarter answers all three unusually loudly, and the back half of the piece turns those answers into contract language. If they lose your renewal, who takes the iron, at what rate, and how fast? A vendor&#8217;s alternative to you is every other E&amp;P and midstream operator they could place that unit with. Their negotiating strength is exactly as good as that alternative, and no better. Weaknesses in their optionality are your leverage, and this quarter&#8217;s filings disclose several. That is the vendor&#8217;s BATNA. There are two BATNAs in every negotiation, though, and the second is yours to build. A note for midstream readers before the chairs: everything here applies to you, and usually harder. Gatherers and processors tend to be more price-sensitive than E&amp;Ps, and your financial structure gives you a higher natural propensity to insource, which means your walk-away starts stronger than then package everything coming up on term over the next twelve months into a single negotiation. The chart above is an example operator&#8217;s book: nearly 50,000 horsepower comes up on term inside twelve months, and within six months more than half the rented horsepower is sitting on month-to-month. Unit by unit, none of that moves a vendor. Aggregated, it is volume a competitor will mobilize for, and volume the incumbent&#8217;s investor deck cannot afford to lose. The sequence matters as much as the volume: bring the aggregated book to market before you sit down with the incumbent. An alternative you have not developed is not an alternative, and you cannot develop one in the two weeks after their renewal letter arrives.</p></li><li><p><strong>If someone else is your incumbent and you want USAC in.</strong> The same curve is your entry ticket. Aggregated volume is what makes a vendor&#8217;s best pricing available: USAC has roughly 497,000 idle horsepower and in-house manufacturing capacity, which means they can say yes at scale, and this quarter&#8217;s filings say they are motivated to.</p></li><li><p><strong>If you sell compression against USAC.</strong> The filings are your differentiation map. Margin down two straight quarters, roughly $12 million a year of lube-oil cost with no contractual recovery, an integration in the middle innings: those are exactly the pressures that make us worry about where uptime lands (more below). So differentiate on every performance attribute you own: uptime, call-out windows, spares inventory per horsepower. Put 98% runtime and first-call-out guarantees in your initial proposal, priced in, to force the operator to ask the questions back: does USAC&#8217;s bid honor the same terms? You want the comparison to happen on the dimension where the 10-Q says your counterpart is squeezed.</p></li><li><p><strong>And in every chair: negotiate the package.</strong> The most expensive mistake in vendor negotiation is sequencing. You settle price and horsepower, you award the work, the other bidders stand down, and then the &#8220;contract details&#8221; conversation starts: first call, uptime guarantees, the right to downsize or swap without penalty. By then you have no leverage left, and each detail gets traded away one at a time. Price, term, volume, and every service and performance term move together, at one table, at the moment your alternatives are real. We run this as multiple equivalent simultaneous offers (MESOs): several packages on the table at once, varying the things the vendor values against the things you value, so every trade is visible and priced. The quarter you are about to read makes one of those packages unusually powerful, because USAC just told the market exactly what it values.</p></li></ol><h2>The Eleventh Minute</h2><p>The headline print was serene. Record revenue of $342.1 million, record adjusted EBITDA of $193.2 million, a 1.3% consensus miss forgiven by lunchtime, guidance reaffirmed on every line for the third consecutive quarter, leverage down to 3.72x. The distribution didn&#8217;t move. It never does.</p><p>The usable material surfaced eleven minutes into the Q&amp;A, when Citi&#8217;s Doug Irwin packaged a question about lube-oil costs with one about medium-term pricing. Chris Wauson, USA Compression&#8217;s chief operating officer, got to the pricing half and said this: &#8220;Our new units, we&#8217;re still contracting units at a healthy rate of return. In regards to more of an idle unit set, we&#8217;re not seeing the price increases that we once have experienced.&#8221;</p><p>Nobody asked about the idle set. The distinction was volunteered, and volunteered precision is the most informative kind. The sell side mostly kept typing: Raymond James&#8217;s same-day note printed sequential pricing growth of 3.6%, while the company&#8217;s own figure, stated in the 10-Q, repeated on the transcript, and copied correctly by Mizuho, is 0.5%. (When a bank can miss the quarter&#8217;s most consequential datapoint by a factor of seven on the day it prints, that datapoint is not priced in.)</p><p>Two numbers organize everything that follows. The one that collapsed: sequential pricing growth, +5.0% in Q1 to +0.5% in Q2. And the one that refused to move: month-to-month revenue, frozen at 25.4% of the book. Read together they describe a vendor that is strong where you order new iron, weak where you renew existing iron, and desperate for one commodity across the entire book: duration.</p><div y2="14"></line></svg></button></div></div></div></a></figure></div><h2>The Number That Didn&#8217;t Move</h2><p>The month-to-month pool held at 25.4% of contract-operations revenue. To the decimal. That is $81.1 million in the quarter, roughly $324 million annualized, the largest walkable revenue base in the sector by a wide margin.</p><p>In May I read USAC&#8217;s conversion campaign as a window closing on J-W-legacy operators: the vendor was standardizing terms, the walkable book would shrink, move before it did. The campaign is real, and it is enormous. Backlog dated 2027 and beyond grew $139.9 million in ninety days ($55.3 million added to 2027, $38.5 million to 2028, $20.6 million to 2029, and $25.5 million past that). Back the quarter&#8217;s recognized revenue out of the roll-forward and USAC booked roughly $200 million of gross new term contracts in a single quarter (Kalibr estimate). The August investor deck now advertises 75% of revenues under primary terms of two to five years.</p><p>And the pool did not shrink. That is the revision this quarter forces: the conversion campaign is running flat out, and the month-to-month share still printed 25.4%, identical to Q1, because contracts are rolling off primary terms into month-to-month at almost exactly the rate the campaign converts them to paper. The treadmill runs; the window stays open. Legacy J-W operators hold more walk-away optionality, for longer, than the May read implied, and I am correcting that read in public because the correction is the opportunity.</p><p>Do not mistake a stable share for a stable position, though. Your specific units convert the day you sign their letter. The pool refills behind you; your optionality does not. USAC is spending $257 million of binding purchase commitments and re-ranking its own distribution to buy duration, which tells you precisely what your signature is worth to them.
